Welcome to Moneyball.win (“Moneyball,” “we,” “us,” or “our”), a free Service provided by Eagle Cross, Inc. (“Company”). By accessing or using Moneyball, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. The Service

Moneyball is currently in beta and is a free web application that connects to your CRM via secure API integration or by securely connecting to spreadsheet files through providers such as Google Drive, Box, or SharePoint. It extracts a limited subset of CRM opportunity data, analyzes it, and provides analytics, insights, gamification, dashboards, and predictions. The integration is read-only: Moneyball pulls data from the CRM or connected file source but does not write back, update records, or push changes into the source system. The Service is provided free of charge and “AS IS”.

2. Definitions

• “Member” means any individual person who creates an account or is invited to access the Service.
• “Member Administrator” means the Member who creates the Member Organization account and accepts these Terms on behalf of the Member Organization.
• “Member Organization” means the company or organization that the Member belongs to and that is using or authorizing use of the Service.

3. Eligibility & Acceptance

You must be at least 18 years old and have the legal capacity to enter into these Terms.

• The Member Administrator accepts these Terms on behalf of the Member Organization.
• All other Members must accept these Terms for their own use upon first login by checking a box.
• These constitute a binding “click-wrap” acceptance.

4. Member Accounts & Member Organization Responsibility

The Member Organization is solely responsible for:

• Inviting and managing all Members.
• Ensuring every Member complies with these Terms.
• Immediately terminating access for any Member who leaves the Member Organization or whose authorization is revoked.

The Member Organization remains fully responsible for all activity under its account and for any access it grants to Members.

5. Your Data and Content

The Member Organization grants Moneyball a limited, worldwide, non-exclusive, royalty-free license to access, store, process, and display the CRM data shared through the Service solely to provide the Service, including intra-company comparisons.

The Member Organization represents and warrants that it has all necessary rights and consents to provide this data and to authorize its sharing with any Members it invites.

6. Acceptable Use & Intellectual Property

You agree not to:

• Upload data that violates any law or third-party rights
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Copy, modify, distribute, or create derivative works based on any part of Moneyball
• Use the Service to build a competing product or service
• Scrape, crawl, or systematically extract data from the Service

7. Indemnification

You agree to indemnify, defend, and hold harmless Moneyball, the Company, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your or any Member’s breach of these Terms, (ii) any data you provide to us, or (iii) any violation of applicable law or third-party rights.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ANALYTICS OR PREDICTIONS WILL BE ACCURATE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

We may suspend or terminate access at any time for any reason. Upon cancellation or termination, we will delete the Member Organization’s data as soon as reasonably practicable, but no later than 14 days (see Privacy Policy for details).

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in San Diego County, California.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new version and updating the “Last Updated” date. Your continued use of Moneyball after the new Terms are posted constitutes your acceptance of the changes. We are not required to obtain a new click-wrap acceptance for every update.
